Terms of Service

Effective date: June 9, 2026

Summary: Udayta is a local service marketplace and recommendation platform. By using Udayta, you agree to these Terms. Providers are independent businesses — not Udayta employees. Bookings and availability are not guaranteed. Udayta earns commissions on some affiliate links.

1. Acceptance of Terms

By accessing or using Udayta at www.udayta.com (the “Platform”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Platform.

If you are using Udayta on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. What Udayta Is

Udayta is an online marketplace that helps consumers in the Naperville/Chicago metro area discover and connect with independent local service providers across beauty, wellness, lifestyle, and events.

Our SmartMatch technology recommends providers based on your service preferences, location, requested date and time, and other signals. SmartMatch recommendations are algorithmic suggestions — they are not endorsements, guarantees of quality, or warranties of any kind.

Udayta is a marketplace platform. We are not a service provider, beauty salon, wellness studio, or event venue. We do not employ, supervise, or direct any of the service providers listed on the Platform. Providers are independent businesses solely responsible for the services they deliver.

3. User Accounts

3a. Consumer accounts

Consumers may create an account using Google OAuth sign-in. By signing in with Google, you authorize Udayta to receive your name, email address, and profile picture from Google. You are responsible for all activity under your account.

3b. Provider accounts

Service providers access their dashboard via a magic-link authentication system sent to their registered email address. Providers are responsible for keeping their email address current and for all activity under their account.

3c. Account security

Do not share your login credentials or session tokens. If you believe your account has been compromised, contact support@udayta.com immediately. Udayta is not liable for losses caused by unauthorized account access that results from your failure to protect your credentials.

4. Booking Requests and Availability

Udayta allows you to submit availability requests and appointment inquiries to service providers. Submitting a request does not guarantee a booking, an appointment, or that the provider will respond. Appointment confirmation is solely between you and the provider.

  • Providers are independent businesses and set their own availability, pricing, cancellation policies, and service terms.
  • Udayta is not a party to any service agreement between you and a provider.
  • If a provider fails to respond, delivers substandard service, or cancels without notice, your recourse is directly with that provider. You may also contact Udayta support to report the issue.
  • Information you submit in a booking request (name, email, phone, preferred date, notes) will be shared with the provider you selected. By submitting a request, you consent to this sharing.

5. Claiming a Provider Listing

Businesses may claim an existing Udayta listing to gain access to profile management tools, leads, and booking features. By submitting a claim, you represent that:

  • You are the owner, operator, or an authorized representative of the business.
  • All information you provide is accurate and truthful.
  • You have the right to manage the listing on the business's behalf.

Fraudulent claims — including impersonating a business you do not represent — are strictly prohibited and may result in permanent suspension and legal action. Udayta reviews all claims before granting profile access.

6. Payments and Fees

Payment processing on Udayta is handled by Stripe, Inc. By completing a purchase, you agree to Stripe's services agreement and privacy policy.

  • Udayta does not store your credit card number, CVV, or bank account information. All payment data is processed and stored by Stripe.
  • Refund and cancellation policies are set by each service provider individually. Udayta marketplace fees, where applicable, may be non-refundable.
  • All prices are displayed in U.S. dollars unless otherwise indicated.

7. Affiliate Links and Sponsored Content

Udayta participates in affiliate programs. Some links on our Platform — including links to events, tickets, restaurants, and products — may be affiliate links, meaning Udayta may earn a commission if you click and make a purchase, at no additional cost to you.

  • Event tickets: Links to Ticketmaster and affiliated ticketing platforms are affiliate links. Udayta is not the ticket seller. All ticket sales, refunds, and event cancellations are governed by the ticketing platform's terms.
  • Shopping: Product links in our Shop section may be affiliate links.
  • Experiences: Restaurant and venue links in our Experiences section may include affiliate or referral links.

Affiliate relationships do not influence which providers or events appear in SmartMatch results or editorial sections. SmartMatch rankings are based solely on quality signals, availability, and fit — not commercial relationships.

We use Impact.com for affiliate tracking. Impact's script may collect cookies and device data for attribution. See our Privacy Policy for more information.

8. SMS Messaging

If you opt in to SMS, Udayta (via Twilio) may send you text messages about your requests, bookings, or account. Message and data rates may apply. Message frequency varies.

To stop receiving SMS messages, reply STOP to any message. To get help, reply HELP. Opting out of SMS does not affect other account features or email communications.

Provider businesses that opt in to SMS lead delivery agree to receive text notifications about new leads and bookings. The same opt-out instructions apply.

9. Provider Listings and Content

Our provider directory includes both verified (claimed) listings and listings imported from public sources including Google Places.

  • Unclaimed listings are imported from public business data. Udayta makes no warranty as to the accuracy or completeness of unclaimed listing information.
  • Claimed listings are managed by the business owner or authorized representative. Providers are responsible for the accuracy of their profile information, pricing, availability, and service descriptions.
  • Provider photos uploaded to Udayta are stored securely on Supabase and may be displayed publicly on the Platform.

10. Prohibited Uses

You agree not to:

  • Submit false, misleading, or fraudulent information on any form.
  • Use automated tools, bots, or scrapers to access, extract, or collect data from the Platform without express written permission.
  • Attempt to gain unauthorized access to any account, server, or database.
  • Post or transmit content that is unlawful, defamatory, obscene, harassing, or that violates any third party's rights.
  • Use the Platform to send spam, unsolicited commercial messages, or otherwise abuse our messaging systems.
  • Interfere with or disrupt the integrity or performance of the Platform.
  • Impersonate another person, business, or Udayta itself.
  • Submit a claim for a listing you do not own or are not authorized to manage.

Violations may result in suspension or termination of your account, removal of content, and, where appropriate, referral to law enforcement.

11. User-Generated Content

If you submit notes, messages, reviews, or other content to the Platform, you grant Udayta a non-exclusive, royalty-free, worldwide license to display, reproduce, and use that content in connection with operating and improving the Platform.

You represent that you have the right to submit any content you provide and that it does not violate any third-party rights. Udayta reserves the right to remove any content that violates these Terms or our community standards.

12. Intellectual Property

All content on the Platform not provided by users — including the SmartMatch algorithm, design, logos, text, and code — is the property of Udayta or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, or distribute Udayta's proprietary content without express written permission.

13. Disclaimers

THE PLATFORM AND ALL CONTENT, RECOMMENDATIONS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Udayta does not warrant that SmartMatch recommendations are accurate, complete, or suitable for your specific needs. Udayta does not warrant that provider listings are accurate, that providers are licensed or insured, or that event information is current.

Udayta is not responsible for any service performed by a provider you book through the Platform. Your interactions with providers are entirely at your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UDAYTA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR SERVICES, EVEN IF UDAYTA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL UDAYTA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO UDAYTA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

15. Indemnification

You agree to indemnify, defend, and hold harmless Udayta and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any content you submit to the Platform.

16. Governing Law and Disputes

These Terms are governed by and construed under the laws of the State of Illinois, without regard to its conflict-of-law provisions. You agree that any legal action arising from these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in DuPage County, Illinois, and you consent to the personal jurisdiction of such courts.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you via email or an in-app notice. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
